RESUMO
Resumo: o objetivo deste trabalho é
avaliar a teoria da empresa, tanto do ponto de vista econômico quanto jurídico.
Neste sentido, serão analisadas a teoria dos perfis de empresa, de autoria de Alberto Asquini, bem como
a teoria da firma, cujo autor é Ronald Coase. Busca-se, neste artigo,
demonstrar os equívocos da doutrina jurídica dominante acerca do real
entendimento que se deve ter sobre o perfil corporativo da empresa. Com efeito, a partir de uma
abordagem de “Direito e Economia”, evidencia-se que é o perfil corporativo,
despido de qualquer concepção política que lhe deu origem, é o elemento
distintivo entre a atividade econômica empresarial e a atividade econômica não
empresarial.

ABSTRACT
Summary: the objective of this work is to evaluate the theory of the
firm, as much of how much legal the economic point of view. In this direction,
they will be analyzed the theory of the company profiles, of authorship of
Alberto Asquini, as well as the theory of the firm, whose author is Ronald
Coase. One searchs, in this article, to demonstrate the mistakes of the
dominant legal doctrine concerning the real agreement that if must have on the
corporative profile of the company. With effect, from a boarding of “Law and Economics”,
it is proven that it is the corporative profile, undressed of any conception
politics that gave origin to it, is the distinctive element between the
enterprise economic activity and not enterprise the economic activity.
